Digital Transformation Services for Schools :

Welcome to Guruchintana Edtech Private Limited!

These terms and conditions outline the rules and regulations for the use of Guruchintana Edtech Private Limited's digital transformation services for educational institutions. By engaging with our services, you accept these terms and conditions. Do not continue to use our services if you do not agree to all of the terms and conditions stated herein.

Maths Nipun is the brand of Guruchintana EdTech Private Limited. We operate under this brand.

1. Services Provided

Guruchintana Edtech Private Limited provides a comprehensive digital transformation package for schools, including the following services:

1.1 School Website Development

• We provide a complete school website including domain registration, hosting services, SSL certificate, and administrative access for one year.

• The website will be created using pre-designed templates selected and customized according to the school's basic requirements.

• Major structural changes to the website template or design are not included in the standard package.

1.2 Mobile Application (Android)

• We provide an Android mobile application for the school.

• iOS applications are not included in this package.

• The application will be provided to the school as an APK file.

• Google Play Store submission and listing services are not included. Schools wishing to list their application on the Google Play Store must independently manage Google Play Developer account registration, associated fees, and compliance requirements.

1.3 Mega Learning Combo (11 Courses)

We provide access to the Mega Learning Combo, consisting of the following eleven (11) courses:

1. Abacus

2. Basic Computer Skills

3. Microsoft Tools

4. Memory Master

5. Tech Literacy

6. Coding Basics

7. Public Speaking and Personal Development

8. Presentation Skills

9. Productivity and Time Management

10. Financial Literacy

11. Anxiety, Stress, and Anger Management

• The Mega Learning Combo courses are provided free of cost to all current students of the school for a period of two (2) years from the date of service activation.

• Students who enroll in the school during the two-year period will also have access to these courses at no additional cost.

• Students who complete any of these courses within the two-year period will retain lifetime access to the completed course content.

• After the two-year period, new students will be required to pay for access to these courses.

• Access to courses beyond the Mega Learning Combo requires separate payment and is not included in this package.

1.4 Abacus Teacher Training and Certification

• We provide video-based training for one (1) teacher from the school in Abacus instruction.

• The training is delivered exclusively through pre-recorded video sessions; no live classes or interactive sessions are included.

• Upon completion of the training, the teacher must pass an examination conducted by Guruchintana Edtech Private Limited to receive certification.

• Certification will only be issued upon successful completion of the examination.

1.5 DTEC (Digital Transformation Excellence Certificate)

• Upon completion of the digital transformation package, the school will receive a Digital Transformation Excellence Certificate (DTEC).

• This certification is a registered trademark of Guruchintana Edtech Private Limited and signifies the school's commitment to digital excellence.

• A physical certificate and commemorative memento will be provided to the school.

1.6 One-Year Website and Application Maintenance

• We provide one (1) year of maintenance services for the school website and mobile application from the date of deployment.

• Maintenance services include bug fixing and resolution of technical issues affecting website or application functionality.

• Maintenance services do not include data entry, content updates, design changes, or structural modifications to the website or application.

• After the one-year maintenance period, continued maintenance services are available for a fee. Schools may choose to continue with Guruchintana Edtech Private Limited or engage alternative service providers.

2. Payment Terms

• Payment for services must be made in accordance with the payment schedule agreed upon in the service agreement.

• All fees are stated in Indian Rupees (INR) unless otherwise specified.

• Payment methods accepted include bank transfer, cheque, and online payment as mutually agreed.

• Failure to make payment according to the agreed schedule may result in suspension of services until payment is received.

3. Intellectual Property Rights

• Unless otherwise stated, Guruchintana Edtech Private Limited and/or its licensors own all intellectual property rights for materials provided as part of the digital transformation services, including but not limited to website templates, course content, training materials, and application code.

• The school is granted a non-exclusive, non-transferable license to use the provided materials solely for the operation of the school's website and application.

• The school must not:

• Sell, rent, or sub-license materials provided by Guruchintana Edtech Private Limited

• Reproduce or copy materials for distribution to third parties

• Reverse engineer, decompile, or disassemble any software or applications provided

• Remove or alter any proprietary notices or labels on the materials

4. Service Limitations and Exclusions

4.1 Website Services

• Websites are created using pre-designed templates with limited customization options.

• Major design modifications, custom feature development, or structural changes beyond the template capabilities are not included and may be subject to additional fees.

4.2 Mobile Application Services

• Only Android applications are provided; iOS applications are not included in this package.

• Google Play Store listing, Apple App Store listing, and associated compliance, registration, and fee requirements are the sole responsibility of the school.

4.3 Training Services

• Teacher training is provided through pre-recorded video sessions only.

• Live instruction, one-on-one mentoring, or interactive training sessions are not included.

4.4 Maintenance Services

• One-year maintenance covers technical bug fixes and critical functionality issues only.

• Data entry, content updates, design modifications, and feature additions are not included in maintenance services.

5. Cookies and Tracking Technologies

• The websites and applications provided may use cookies and similar tracking technologies to enhance user experience and collect usage information.

• By using the website or application, users consent to the use of required cookies necessary for functionality.

• Users may have the option to accept or decline optional cookies, subject to the functionality of the website or application.

6. User-Generated Content and Comments

• Parts of the website may allow users to post and exchange opinions, information, and comments.

• Guruchintana Edtech Private Limited does not filter, edit, publish, or review user comments before their appearance on the website.

• Comments do not reflect the views and opinions of Guruchintana Edtech Private Limited, its agents, or affiliates.

• To the extent permitted by applicable law, Guruchintana Edtech Private Limited shall not be liable for user comments or any liability, damages, or expenses arising from user-generated content.

• Guruchintana Edtech Private Limited reserves the right to monitor all user content and remove any content deemed inappropriate, offensive, or in breach of these terms and conditions.

Users warrant and represent that:

• They are entitled to post content and have all necessary licenses and consents to do so

• Content does not infringe any intellectual property rights, including copyright, patent, or trademark

• Content does not contain defamatory, libelous, offensive, indecent, or unlawful material

• Content will not be used to solicit business, promote commercial activities, or engage in unlawful activity

By posting content, users grant Guruchintana Edtech Private Limited a non-exclusive license to use, reproduce, edit, and authorize others to use any posted content in any form, format, or media.

7. Service Continuity and Availability

• Services are provided during the agreed service period as specified in the service agreement.

• After the initial service period, continuation of services (including hosting, course access, and maintenance) is subject to renewal fees.

• Schools wishing to continue services beyond the initial period must enter into a renewal agreement with associated fees, typically ranging from ₹800 to ₹1,000 per month for website and application maintenance.

• Schools may choose to migrate to alternative service providers after the initial service period. Guruchintana Edtech Private Limited will cooperate with reasonable data transfer requests subject to settlement of all outstanding fees.

8. Termination of Services

• Either party may terminate the service agreement with written notice as specified in the service agreement.

• Guruchintana Edtech Private Limited reserves the right to suspend or terminate services immediately in the event of non-payment, breach of terms, or misuse of services.

• Upon termination, the school must settle all outstanding fees. Access to course materials for students who have completed courses during the active period will be honored according to the lifetime access provision.

9. Limitation of Liability

• We do not guarantee that the website, application, or course materials will be error-free, uninterrupted, or completely secure at all times.

• We do not warrant the completeness or accuracy of all information provided through our services.

• To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to our services.

Nothing in this limitation of liability will:

• Limit or exclude liability for death or personal injury

• Limit or exclude liability for fraud or fraudulent misrepresentation

• Limit any liabilities in any way not permitted under applicable law

• Exclude any liabilities that may not be excluded under applicable law

10. Indemnification

The school agrees to indemnify and hold harmless Guruchintana Edtech Private Limited, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from the school's use of the services, violation of these terms, or infringement of any third-party rights.

11. Data Protection and Privacy

• Guruchintana Edtech Private Limited is committed to protecting the privacy and security of user data.

• Personal information collected through the website or application will be handled in accordance with applicable data protection laws and our Privacy Policy.

• Schools are responsible for obtaining necessary consents from students, parents, and staff for data collection and processing through the website and application.

12. Amendments to Terms and Conditions

• Guruchintana Edtech Private Limited reserves the right to modify or replace these terms and conditions at any time.

• Schools will be notified of material changes to these terms via email or through the website.

• Continued use of services after changes constitutes acceptance of the modified terms.

13. Governing Law and Dispute Resolution

• These terms and conditions are governed by and construed in accordance with the laws of India.

• Any disputes arising from these terms or the provision of services shall be subject to the exclusive jurisdiction of the courts located in the jurisdiction where Guruchintana Edtech Private Limited is registered (i.e. Sagar, Karnataka, India pin – 577401).

15. Effective Date

These terms and conditions are effective as of the date of service agreement execution and remain in effect for the duration of the service period and any subsequent renewal periods.
